1. Introduction

This Clinician Marketplace Participation Agreement ("Agreement") governs the rights, responsibilities, and obligations of any clinician, provider, licensed individual, regulated service entity, practice, organisation, or third-party (collectively "Clinician" or "You") participating in the CliniciansCheck Limited ("CliniciansCheck," "We," "Us," or "Our") digital platform.

By creating a profile, listing services, offering goods, uploading digital content, or engaging through the platform in any professional capacity, you confirm that you have read, understood, and agree to be legally bound by the terms of this Agreement. This Agreement is enforceable across all jurisdictions in which we operate and is aligned with local regulatory frameworks.

This Agreement applies equally to physical, digital, and AI-powered services, and is enforceable in all jurisdictions through appropriate conflict-of-law mechanisms and cross-border recognition of digital terms.

This Agreement complies with enforceable contract mechanisms under the United Nations Convention on the Use of Electronic Communications in International Contracts (UNECE 2005), and platform participation constitutes electronic acceptance in all applicable jurisdictions.

This Agreement shall be interpreted in accordance with evolving international digital contract norms, and is binding upon successors, affiliates, and subcontractors engaged through the platform.

2. Platform Purpose and Role

CliniciansCheck provides a globally governed platform for the discovery, comparison, and booking of health, wellbeing, and regulated services. These include mental health therapy, digital health tools, wellbeing products, and AI-supported offerings.

We do not supervise or direct clinical conduct. CliniciansCheck is not a medical provider, legal representative, or intermediary in any contract for care, advice, diagnosis, or treatment. All engagements between you and your clients or patients are independent of the platform and governed by your own terms, licensing, and liabilities.

All marketplace participants are treated as independent contractors or entities and are fully responsible for their services, conduct, and local regulatory compliance.

All Clinician services are hosted under the principle of platform neutrality. CliniciansCheck does not act as a principal, agent, or co-provider in any transaction or service delivery. This separation preserves the legal autonomy and sole professional liability of each participating Clinician.

CliniciansCheck adheres to platform neutrality and legal separation from service delivery entities in accordance with EU Platform to Business Regulation and US FTC marketplace guidance.

3. Eligibility to Participate

You must:

  • Hold valid, current, and verifiable licences, certifications, or regulatory approvals for the services or goods you offer.

  • Operate in accordance with your country’s legal and health authority standards.

  • Submit timely, truthful documentation for verification upon request.

  • Declare and maintain professional indemnity or malpractice insurance where legally required.

Failure to comply will result in account suspension, removal from the platform, and possible referral to professional regulators or authorities.

Clinicians must immediately notify CliniciansCheck of any investigations, suspensions, or changes in professional standing, including but not limited to loss of licence, malpractice claims, or formal disciplinary proceedings.

Clinicians may be subject to additional onboarding or re-verification in higher-risk or regulated jurisdictions.

We require compliance with licensing verification laws such as the UK Health and Social Care Act, the U.S. State Licensing Boards framework, AHPRA (Australia), CNES (Brazil), HPCSA (South Africa), and NMPA (China) depending on your location.

Clinicians are responsible for keeping all licensing, documentation, and regulatory disclosures up to date, and for notifying CliniciansCheck within 72 hours of any material change in licensure, affiliation, or legal standing.

4. Content, Listings, and Profile Accuracy

  • You are solely responsible for the truthfulness, legality, and quality of your listing, including all descriptions, prices, claims, accreditations, and images.

  • You agree not to upload, sell, or represent any fraudulent, mislabelled, unregulated, or non-compliant goods or services.

  • You must disclose material risks, disclaimers, or eligibility limitations associated with your offerings.

  • CliniciansCheck may edit or remove content or suspend listings to uphold legal, reputational, or safety standards.

Listings must not reference unproven claims, pseudoscientific practices, or off-label treatments without jurisdiction-specific disclosure requirements and client disclaimers in place.

You agree not to use AI-generated imagery or impersonating content without consent, authenticity verification, and clear labelling where required by law.

This section aligns with the UK Consumer Protection from Unfair Trading Regulations, U.S. Truth in Advertising laws, and global advertising transparency requirements.

You agree to maintain documentary evidence of any clinical claims, research references, or health outcomes presented in your listings, and to provide such documentation upon lawful or platform request.

5. Safety, Ethics, and Professional Conduct

  • You must uphold international best practices for clinical care, safeguarding, and equality.

  • Discriminatory, coercive, negligent, or exploitative behaviour is strictly prohibited.

  • All interactions must adhere to appropriate conduct and informed consent practices.

  • CliniciansCheck may report suspected breaches of law or professional ethics to competent authorities.

You must uphold the principles set out in the UN Universal Declaration of Human Rights, the World Medical Association Code of Ethics, and relevant national health charters.

Any form of coercion, dual relationship, or abuse of power will be considered grounds for immediate removal and formal reporting.

We operate in alignment with the UN’s Sustainable Development Goal 3 (Good Health and Well-being), and the WHO International Code of Ethics for Health Professionals.

Clinicians must also comply with jurisdiction-specific codes such as the UK's GMC Good Medical Practice, the U.S. AMA Code of Ethics, the Australian Medical Board's Professional Standards, and comparable national frameworks in the region of service.

6. Financial Terms and Taxes

  • Payment structures (e.g., subscription, commission, premium visibility) are set out in the pricing schedule or contractual agreement.

  • CliniciansCheck is not responsible for chargebacks, patient non-payment, or third-party defaults unless explicitly stated.

  • You are fully responsible for your own taxation, regulatory filings, and financial declarations under local law.

All prices displayed must be transparent, inclusive of applicable taxes where required, and accompanied by a valid cancellation/refund policy in accordance with local consumer law.

You are required to comply with local e-commerce VAT/GST requirements including the EU VAT Directive, UK HMRC Making Tax Digital, and applicable digital goods taxation in the U.S., UAE, and Australia.

7. Data Protection and Privacy Compliance

  • You must comply with GDPR, HIPAA, CCPA, LGPD, and any jurisdiction-specific data laws applicable to your use of patient or consumer data.

  • You must store and process any personal data with encryption, minimal access, and lawful justification.

  • You must not export or repurpose platform-collected data without lawful basis and patient or user consent.

You may be subject to random audit or data handling verification by CliniciansCheck or our appointed regulators.

You are required to report suspected data breaches within 24 hours to CliniciansCheck and relevant authorities, in accordance with applicable notification laws.

This Agreement aligns with the ISO/IEC 27701 privacy extension for information security management, and local interpretations of data sovereignty.

In the event of a cross-border data dispute or transfer challenge, the platform will apply conflict-of-laws rules as informed by the Hague Convention on the Recognition and Enforcement of Foreign Judgments (2019), where applicable.

8. Use of AI, Automation & Platform Tools

  • Our AI tools (e.g., "Gigi") are provided to support but never replace human oversight or professional decision-making.

  • Any AI-generated summaries, suggestions, or workflow automations must be reviewed and validated by you.

  • You accept full responsibility for any listings, communications, or content generated or modified using AI.

AI systems are not permitted to independently make care or triage decisions, issue medical certificates, or generate clinical reports without clinician authorship and oversight.

CliniciansCheck disclaims all liability arising from your reliance on or misuse of AI tools outside the intended administrative support scope.

Use of AI tools must comply with Article 22 of the UK/EU GDPR, Brazil’s LGPD AI Guidelines, and U.S. FTC guidance on algorithmic accountability.

You agree to maintain logs or proof of human review when using AI tools for content, especially where outputs are used in public-facing listings or clinical descriptions.

9. Monitoring, Audit, Suspension & Enforcement

  • We may monitor usage patterns, messages, listing data, and traffic for security, fraud prevention, and compliance.

  • We may suspend or permanently ban accounts without notice for violations of law, public trust, or professional standards.

  • We may share data with regulators, law enforcement, insurers, or oversight bodies if breaches or risks are detected.

CliniciansCheck reserves the right to conduct mystery shopping, technical audits, and AI analysis on submitted listings to ensure policy adherence.

Users subject to suspension may be placed under an internal “watchlist” or flagged for enhanced scrutiny prior to reinstatement.

Platform monitoring is conducted in accordance with the principles of necessity, proportionality, and due process. Where automated moderation tools are used, they are subject to human oversight.

Where permitted by law, audit mechanisms may include AI-based behavioural or metadata analysis to detect regulatory red flags, provided such methods are subject to transparency and appeal.

10. Limitation of Liability and Indemnity

  • CliniciansCheck is not liable for patient harm, clinical decisions, loss of earnings, reputational damage, or platform downtimes.

  • You agree to indemnify CliniciansCheck for any third-party claims, investigations, or damages resulting from your conduct or breach of this Agreement.

This limitation of liability applies to both direct and indirect damages, including lost income, reputational harm, and regulatory sanctions, to the maximum extent permitted by law.

This clause survives the termination of your account or profile on the platform.

Nothing in this clause limits mandatory consumer or patient rights under applicable laws including the UK Consumer Rights Act 2015, U.S. Telehealth Laws, or EU Patient Rights Directive.

11. Global Legal Standing & Dispute Resolution

  • This Agreement is governed by the laws of England and Wales, unless mandatory local law dictates otherwise.

  • In the event of legal dispute, parties agree to attempt arbitration before formal court proceedings.

  • Nothing in this Agreement limits the rights of regulatory authorities or courts in the jurisdictions where you operate.

For disputes involving cross-border matters, the United Nations Convention on the Use of Electronic Communications in International Contracts (UNECE 2005) may apply.

We reserve the right to pursue legal remedies in jurisdictions outside of England and Wales if patient harm or fraud has occurred.

This clause also considers jurisdiction-specific dispute resolution mechanisms such as ADR (Alternative Dispute Resolution) and global online dispute platforms.

In the event of multi-jurisdictional conflict, CliniciansCheck reserves the right to consolidate claims or proceedings in the forum most reasonably connected to the matter in dispute, consistent with global digital commerce arbitration standards.

12. Updates, Amendments & Compliance Assurance

  • This Agreement may be updated in line with evolving laws and platform developments. Continued participation implies consent.

  • We may require periodic re-verification of your eligibility or credentials.

  • You are advised to review this Agreement periodically.

You may be required to digitally re-sign updated terms where legal obligations materially change, in accordance with global best practice for contract enforceability.

Material changes to terms will be accompanied by explicit email notification or platform dashboard alerts, consistent with global digital notice and contract update laws

14. Certification and Global Audit Compliance

CliniciansCheck is committed to regulatory transparency and platform governance. From time to time, we may voluntarily engage in third-party audits, ISO compliance (e.g., ISO/IEC 27001, ISO 9001, and ISO/IEC 42001 for AI), or national certifications where required.

Clinicians agree to cooperate with lawful audits, reviews, or certifications concerning the platform and their use of it, provided due notice and confidentiality are upheld.

CliniciansCheck may also pursue voluntary alignment with frameworks such as the Digital Services Act (EU), India’s Digital Personal Data Protection Act, and Africa’s AU Convention on Cybersecurity and Personal Data Protection.
