Clinicians Check Health & Beauty Goods Seller Agreement
Effective Date: May 23, 2025
1. Introduction
This Health & Beauty Goods Seller Agreement ("Agreement") governs your access to and participation as a physical goods vendor ("Seller") on the CliniciansCheck platform ("Platform"). By registering and listing products, you agree to comply with the terms herein.
CliniciansCheck is a global health marketplace operating under the highest standards of compliance, product integrity, and consumer protection. This Agreement is designed to ensure safety, transparency, and legal accountability for both Sellers and consumers.
2. Eligibility
Sellers must be legally registered entities with the authority to enter into binding contracts.
Sellers must comply with all local, national, and international laws applicable to their products, labeling, advertising, and export/import duties.
3. Scope of Products
This Agreement covers the sale of physical health, wellness, beauty, skincare, supplements, and hygiene products.
Products sold must:

Comply with local laws and regulations in the country of sale and delivery.

Be accurately described, labeled, and packaged.

Include expiration dates, ingredient lists, and allergen disclosures where applicable.
All listings must be factually accurate, non-deceptive, and correspond to the actual product being sold. Any variations must be clearly disclosed. Sellers must not manipulate or misrepresent customer reviews.
3A. Prohibited Items & Restricted Claims
Sellers may not list or promote:
Products banned or restricted under EU, UK, US FDA, MHRA, or WHO guidelines (e.g., mercury-based skin products, CBD in certain jurisdictions, unlicensed supplements).
Claims such as “cures cancer,” “guarantees results,” or any therapeutic statements without substantiated clinical evidence.
CliniciansCheck reserves the right to reject or remove any listing based on emerging health guidance or legal regulation updates.
4. Product Safety and Certification
Sellers must:

Ensure all products are authentic, unused, and compliant with safety standards (e.g., UKCA, CE, FDA, EU Cosmetic Regulation, ISO, MHRA where applicable).

Provide safety data sheets (SDS), certifications, or lab test results upon request.

Not sell recalled, counterfeit, expired, or misbranded items.
In the event of a product recall (voluntary or regulatory), Sellers must:

Immediately inform CliniciansCheck and affected customers.

Cooperate fully with any regulatory body or legal authority.

Arrange for refund, replacement, or disposal in compliance with local law.
CliniciansCheck operates a zero-tolerance policy for counterfeit, parallel import, or grey-market goods. Sellers must be the legal owners, licensees, or authorized distributors of the products listed. Violations may result in immediate removal and legal referral.
5. Quality Assurance and Inspections
CliniciansCheck reserves the right to:

Conduct random product sampling, independent lab testing, or audits.

Suspend or delist any item suspected of non-compliance, health risk, or misrepresentation.
Sellers must cooperate fully and transparently with any investigation or regulatory inquiry.
6. Shipping, Fulfilment, and Returns

Sellers are responsible for timely, traceable shipping with tracking information.

Products must be shipped in protective, hygienic packaging.

Sellers must honor return and refund policies clearly outlined during onboarding, and must comply with UK Consumer Contracts Regulations and global equivalents.
Sellers are responsible for ensuring compliance with all cross-border documentation, customs declarations, duties, and taxes. CliniciansCheck is not liable for delays or penalties related to international trade compliance.
7. Warranties and Seller Representations
Sellers represent and warrant that:

All goods are genuine, safe, legal, and of merchantable quality.

Product information, photos, and claims are truthful and substantiated.

Products do not infringe any third-party intellectual property rights.
Sellers must hold and maintain appropriate product liability insurance to cover claims arising from injury, reaction, contamination, or misuse. Proof must be provided upon request.
8. Payments and Fees

Sellers receive payouts net of CliniciansCheck platform fees, processing charges, and taxes.

CliniciansCheck may withhold funds in cases of fraud, chargebacks, regulatory alerts, or ongoing disputes.
9. Data and Privacy

Sellers must protect buyer data in accordance with UK GDPR, EU GDPR, and global data protection laws.

Data may only be used to fulfil orders and must not be sold, shared, or stored beyond legal or contractual purposes.
10. Indemnification
Sellers agree to indemnify and hold harmless CliniciansCheck, its directors, officers, and employees from any claims, losses, damages, costs, or liabilities resulting from:
Product defects or safety incidents;
Mislabeling or regulatory non-compliance;
IP infringement or false advertising;
Breach of this Agreement.
11. Limitation of Liability
To the fullest extent permitted by law:

CliniciansCheck is not liable for indirect, incidental, or consequential damages.

Maximum aggregate liability shall not exceed the total fees paid by Seller to CliniciansCheck in the previous six (6) months.
12. Termination and Monitoring
CliniciansCheck may:

Suspend or terminate this Agreement for violations of law, safety, ethics, or platform policy.

Monitor Seller performance and request documentation or corrective actions.

Sellers agree to cooperate with all compliance requests.
Sellers must not engage in conduct that could damage the reputation, trust, or operational integrity of the Platform. CliniciansCheck reserves the right to immediately suspend or permanently ban Sellers for reputational or ethical harm to the brand.
13. Global Compliance and Trade Restrictions
Sellers must:

Comply with UK, EU, US, UN, and local trade laws.

Not list or ship products to or from embargoed or sanctioned countries.

Acknowledge that CliniciansCheck may restrict access in response to legal or geopolitical developments.
14. Governing Law
This Agreement shall be governed by the laws of England and Wales. Disputes will be resolved by arbitration via the London Court of International Arbitration (LCIA), unless otherwise agreed in writing.
This Agreement is designed to operate globally. Where local law requires different consumer rights, customs declarations, or product safety procedures, such laws shall take precedence only to the extent required. All remaining terms shall remain valid and enforceable.
15. Language
This Agreement is in English. In the event of translation, the English version will govern. Sellers must review and understand the terms before proceeding.
Sellers must ensure all product listings, ingredients, and warnings are available in the primary language(s) of the delivery country and accessible in accordance with WCAG 2.1 AA standards, where applicable.
16. Force Majeure
CliniciansCheck shall not be liable for any failure or delay in performance due to acts beyond its control, including but not limited to acts of God, natural disasters, government actions, pandemics, cyberattacks, strikes, supply chain disruptions, or failure of public or private telecommunications networks.
17. Environmental & Ethical Responsibility
Sellers must comply with applicable sustainability, ethical sourcing, and waste disposal regulations (e.g., REACH, WEEE, Packaging Waste Regulations). CliniciansCheck reserves the right to delist sellers failing to meet environmental or ethical standards.
18. AI & Automated Systems
CliniciansCheck may use AI-powered tools to assist in product moderation, reviews, customer messaging, fraud detection, and operational oversight. Sellers agree to cooperate with such systems and acknowledge that human review is available upon request for decisions affecting their listings or accounts.

CliniciansCheck reserves the right to amend this Agreement in response to legal, technical, or regulatory changes. Sellers will be notified of material updates. Continued use of the Platform constitutes acceptance.
